Terms of Service
These Terms of Service (these "Terms") are a binding agreement between you ("you" or "Subscriber") and VortexTick Technology Inc. ("VortexTick," "we," "us"). They govern your access to and use of the vortextick.com website, the VortexTick trading terminal, order-routing software, analytics, and all related services (collectively, the "Platform"). By creating an account, clicking "accept," or using the Platform in any manner, you agree to these Terms in full. If you do not agree, do not use the Platform.
Read Section 3 carefully. VortexTick is software. We are not a broker, not an advisor, and not a fund. You alone are responsible for every order that leaves your account.
1. Eligibility and Account Registration
You must be at least 18 years of age and legally capable of entering into binding contracts. You represent that you are not barred from trading futures by any regulator, self-regulatory organization, proprietary trading firm agreement, or court order. You are responsible for maintaining the confidentiality of your credentials, including your master password, SMS device, and authenticator application. Every action taken under your multi-factor-authenticated session is attributable to you. Notify us immediately at security@vortextick.com upon any suspected compromise.
2. The License We Grant You
Subject to these Terms and payment of applicable fees, VortexTick grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your own trading activity. You may not: (a) resell, sublicense, or share account access; (b) reverse engineer, decompile, or extract source code except where such restriction is prohibited by law; (c) use the Platform to operate a signal service, fund, or pooled vehicle for third parties without our prior written consent; (d) interfere with rate limits, risk controls, or security mechanisms; or (e) use the Platform in violation of any exchange rule, broker agreement, or proprietary trading firm evaluation term.
3. Nature of the Service — No Advice, No Brokerage, No Custody
- Software only. The Platform is an execution-management and risk-management tool. It transmits instructions that you configure to your own brokerage account held at a third-party broker. We never hold, custody, or touch your funds.
- No investment advice. Nothing on the Platform — including automated bracket calculations, volatility-fitted stops, session guidance flags, or any "companion" output — constitutes investment, legal, tax, or trading advice, or a recommendation to buy or sell any instrument. All parameters are defaults you must independently evaluate and adopt as your own.
- Not registered. VortexTick Technology Inc. is not registered as a broker-dealer, futures commission merchant, commodity trading advisor, or commodity pool operator, and does not hold itself out as any of the foregoing. We provide self-directed software tools.
- Your broker relationship controls. Your rights and obligations with respect to order execution, margin, and settlement are governed exclusively by your agreement with your broker and the rules of the relevant exchange.
4. Automated Trading Acknowledgments
You acknowledge that automated and server-side conditional orders carry distinct risks, including software defects, connectivity interruptions, data-feed errors, and market conditions (gaps, halts, fast markets, illiquidity) in which stop orders may fill at prices materially worse than the stop price. The Platform's risk features — including minimum risk-to-reward enforcement, drawdown lockouts, news buffers, and slippage ceilings — are risk-mitigation tools, not guarantees. They can fail, be bypassed by market conditions, or operate on delayed or erroneous data. You agree to maintain independent supervision of any live automated strategy and to maintain direct access to your broker to manage positions if the Platform is unavailable.
5. Subscriptions, Fees, and Taxes
Access to paid tiers is billed in advance on a recurring monthly basis through our payment processor. Prices are stated exclusive of taxes; you are responsible for all applicable taxes. We may change pricing with at least 30 days' notice, effective at your next renewal. Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms.
6. Market Data and Third-Party Services
Market data, economic calendars, and broker connectivity are supplied by third parties. Such data is provided "as is," may be delayed or inaccurate, and may be subject to exchange licensing terms that you agree to observe. We may add, modify, or discontinue third-party integrations at any time.
7. Prop-Firm and Evaluation Use
Many subscribers use the Platform alongside proprietary trading firm evaluations. You — not VortexTick — are solely responsible for confirming that your use of automation, copy-routing, or risk tooling complies with the rules of any evaluation or funded-account program. Breach of a prop firm's terms, and any resulting forfeiture, is exclusively between you and that firm.
8. Intellectual Property
The Platform, including its software, design, trademarks, and content (exclusive of your data), is owned by VortexTick and its licensors and is protected by intellectual property laws. Feedback you submit may be used by us without restriction or compensation. You retain ownership of your trade records and journal entries; you grant us a license to process them solely to operate and improve the Platform.
9. Acceptable Use and Suspension
We may suspend or terminate access, with or without notice, where we reasonably believe (a) these Terms have been breached; (b) your use creates legal, security, or operational risk; (c) suspension is required by law or a data or execution counterparty; or (d) your account is delinquent. Upon termination, Sections 3, 4, 8, and 10 through 14 survive.
10. Disclaimers of Warranty
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NO ORAL OR WRITTEN STATEMENT BY US CREATES A WARRANTY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL VORTEXTICK BE LIABLE FOR TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITY, FORFEITED EVALUATION OR FUNDED ACCOUNTS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING ALLOCATIONS OF RISK ARE AN ESSENTIAL BASIS OF THE BARGAIN AND REFLECT THAT WE DO NOT PRICE THE SERVICE TO INSURE YOUR TRADING.
12. Indemnification
You will defend, indemnify, and hold harmless VortexTick and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your trading activity, your violation of these Terms, your violation of any broker, exchange, or prop-firm rule, or your infringement of any third-party right.
13. Dispute Resolution; Arbitration; Class Waiver
Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Wilmington, Delaware, except that either party may seek relief in small-claims court or injunctive relief for intellectual-property misuse. YOU AND VORTEXTICK EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration provision within 30 days of first accepting these Terms by written notice to legal@vortextick.com.
14. General
These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law rules. If any provision is held unenforceable, the remainder continues in effect. These Terms, together with the policies they incorporate (Privacy Policy, Refund & Cancellation Policy, Risk Disclosure, and Disclaimer), are the entire agreement between the parties regarding the Platform. We may amend these Terms by posting a revised version with a new effective date; continued use after the effective date constitutes acceptance. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent.
